Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Clavibase website, dashboard, branded booking storefronts, and related services (the "Services") operated under the Clavibase brand ("Clavibase", "we", "us", or "our"). By creating an account, accessing the dashboard, or otherwise using the Services, you agree to these Terms.

If we publish a registered company name, RC number, or business address, those details will appear here or in a later update of these Terms. Questions: hello@clavibase.com.

Our Privacy Policy and Refund Policy form part of how we operate the Services and should be read with these Terms.

Eligibility and accounts

You must be able to form a binding contract under Nigerian law to use Clavibase as a paying or free platform customer. You agree to provide accurate registration information and to keep it up to date.

You are responsible for safeguarding your credentials and for all activity under your account, including activity by teammates you invite to your business workspace. Notify us promptly if you suspect unauthorized access.

The Services

Clavibase provides software tools to help shortlet and hospitality operators manage properties, availability, bookings, guest communications, payments, and branded booking sites. Feature availability depends on your plan as described on our pricing pages and in your dashboard.

We may improve, add, or remove features, and may change plan limits over time. Where a change materially reduces paid functionality mid-term, we will handle it in a commercially reasonable way, which may include notice and options described in your billing settings or by email.

Subscriptions and billing

Clavibase offers free and paid plans. Paid plans renew according to the billing interval you select (for example monthly or yearly). Fees are quoted and charged in Nigerian Naira (NGN) unless we state otherwise, and are processed through our payment partners (including Paystack).

  • You authorize us and our payment partners to charge the payment method you provide for recurring subscription fees and applicable taxes.
  • Failure to pay may result in restricted access, feature limits, or downgrade according to your plan.
  • You may upgrade, downgrade, or cancel from your dashboard. Cancelling stops future renewals; access typically continues through the end of the paid period unless we agree otherwise in writing.

Subscription refunds are governed by our Refund Policy. Platform subscription fees are generally non-refundable once a billing period has started, except where required by law or as described in that policy.

Acceptable use

You may not use the Services to:

  • Violate applicable law or third-party rights
  • Misrepresent listings, pricing, availability, identity, or ownership
  • Circumvent payment flows, plan limits, or security controls
  • Probe, scan, or disrupt the platform or other users' accounts
  • Upload malware, scrape in an abusive way, or reverse engineer the Services except where law allows
  • Use the Services to facilitate fraud, money laundering, or illegal lodging activity

We may investigate suspected violations and suspend or terminate access where we reasonably believe these Terms have been breached.

Storefronts, listings, and guest relationships

You are solely responsible for the accuracy of your listings, pricing, availability, house rules, cancellation terms shown to guests, and all communications with guests. You are also responsible for complying with local hospitality, tax, licensing, and consumer rules that apply to your properties and stays.

Clavibase provides software. We are not the landlord, host, travel agent, or party to the stay contract between you and your guests, unless a separate written agreement expressly says otherwise. Disputes about stays, damages, no-shows, cancellations, or guest refunds are between you and the guest, subject to your published terms and applicable law.

Payments and payouts

Guest payments collected through a Clavibase-powered checkout are processed for the benefit of the property manager operating the listing, via partners such as Paystack, subject to that partner's terms and your dashboard configuration. Clavibase does not guarantee collection of every attempted payment and is not responsible for bank delays, chargebacks initiated by guests or card issuers, or payout timing beyond what we and the payment partner reasonably control.

You are responsible for setting correct prices and fees, handling guest refunds according to your policies, and remitting any taxes you owe on lodging income.

Your content and our intellectual property

You retain ownership of content you submit to the Services (for example listing text, photos, and guest records you control). You grant Clavibase a worldwide, non-exclusive license to host, store, process, and display that content solely to provide and improve the Services.

The Clavibase platform, branding, software, and documentation are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services according to your plan and these Terms. You may not copy, resell, or create derivative works of the platform except as our documentation allows.

Third-party services

The Services may integrate with third parties (payment processors, analytics, messaging, hosting, and similar). Those services are governed by their own terms and privacy policies. Clavibase is not responsible for third-party services we do not control.

Suspension and termination

You may stop using the Services and cancel your subscription as described in your dashboard and the Refund Policy. We may suspend or terminate access if you breach these Terms, if required by law, if needed to protect the platform or other users, or if your account remains unpaid.

On termination, your right to use the Services ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that they will meet every business outcome you expect (for example occupancy or revenue targets).

Nothing in these Terms excludes liability that cannot be excluded under Nigerian law.

Limitation of liability

To the maximum extent permitted by applicable law, Clavibase and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Services.

To the maximum extent permitted by applicable law, our total aggregate liability for claims arising out of or relating to the Services or these Terms in any twelve-month period is limited to the greater of (a) the amounts you paid to Clavibase for platform subscription fees in that twelve-month period, or (b) ten thousand Nigerian Naira (₦10,000) if you are on a free plan.

These limitations apply even if a remedy fails of its essential purpose, and do not limit liability for fraud or other liability that cannot be limited by law.

Indemnity

You agree to defend and indemnify Clavibase against claims, damages, and expenses (including reasonable legal fees) arising from your listings, guest stays, content, payment disputes with guests, or your breach of these Terms or applicable law, except to the extent caused by our willful misconduct.

Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Courts in Nigeria have exclusive jurisdiction over disputes arising from these Terms, subject to any non-waivable consumer protections that may apply.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the latest version. If changes are material, we may provide additional notice (for example by email or in-product message). Continued use of the Services after an update constitutes acceptance of the revised Terms where permitted by law.
